Big news🔔 We’re officially on the battlefield. ⚡ Allin AI has been selected for the 2026 @TechCrunch Startup Battlefield 200, in the Fintech category. This fall, we’ll be heading to @TechCrunch Disrupt in San Francisco, October 13–15. We started Allin AI with a simple idea: Capital should flow like water. We build the pipes. Companies deserve a relationship with capital that is direct, continuous, and informed. Allin AI keeps a living, verified picture of your business that investors can actually trust, tells you when the market is ready for you and when it isn't, and gives you a direct line to the capital that fits, at a fraction of what the old way costs. We’re proud to see that idea recognised by TechCrunch. This is a big one for us. And we’re just getting started. theallin.ai #TechCrunch #StartupBattlefield #Fintech #AllinAI

Hardly anyone reads a term sheet top to bottom the first time. The headline numbers get attention first. The details deserve a closer look. What did you look at first the last time one landed in your inbox? If you’d like to see how the terms in front of you compare with similar deals, send us a message. Happy Friday! #SmallCap #Founders #CapitalMarkets #PublicCompanies #HappyFriday

Before you compare the prices in your offers, look for the clause about your next raise. Two thirds of the 103 PIPEs and RDOs in Wilson Sonsini’s mid-2026 report limited the company’s ability to issue more securities after closing. For RDOs, it was 84%. Where the limit ran for a fixed period, the median was 60 days. It never shows up in the headline price, so it is easy to miss. Ask how long it runs and what it carves out. Have you ever found a clause like this after signing? If you’re a small or mid-cap public company with offers on the table and want to see how terms like these compare with similar deals, send us a message. theallin.ai #SmallCap #MidCap #CapitalMarkets #Fundraising #PublicCompanies

Two PIPE offers can show the same discount and cost you very different amounts. The difference is often in the warrants. Wilson Sonsini's latest report on technology and life sciences deals found that average warrant coverage in PIPEs and RDOs rose from 84% in the first half of 2023 to 135% in the first half of 2025. Warrant coverage measures the additional shares investors can purchase through warrants, relative to the shares they initially acquire. At 100% coverage, an investor receives warrants to purchase one additional share for every share purchased, subject to the exercise price and other terms. So when two offers carry the same discount, the next questions are: How many warrants come with each, and at what exercise price? For small and mid-cap public companies evaluating multiple financing offers, understanding these terms is essential to assessing the true cost of capital and potential shareholder dilution. If your company is considering a PIPE or RDO and wants to understand how proposed terms compare with similar transactions, get in touch. theallin.ai #SmallCap #MidCap #CapitalMarkets #PIPEFinancing #Fundraising

Four offers land in your inbox in the same week. A PIPE, a registered direct, a convertible note and an ATM program. Each one trades something for something else. A PIPE gets cash in quickly and puts the discount in plain view. An ATM sells shares gradually and avoids that upfront hit, but it needs an active shelf and the money arrives slowly. Two companies can look at the same four offers and reasonably choose differently. Where each one stands right now, including its runway and its timing, shapes the answer. If you’re a small or mid-cap public company with several offers on the table and want to see how each compares with similar deals, send us a message. #SmallCap #MidCap #CapitalMarkets #Fundraising #PublicCompanies

When an investor passes on a small-cap deal, they rarely say why. You get a polite email. Sometimes nothing. Most founders assume it was the story. The valuation. The timing. Often it is none of those things. Institutional investors devote the same time and resources to a $3M deal as a $30M one. Same due diligence. Same committee. Same legal review. The math does not work. So they pass. Quietly. That is not a rejection of your company. It is a resource allocation decision on their end. The founders who figure this out stop chasing the wrong investors. That is a targeting problem. Not a story problem. If you are a small-cap public company sending the right message to the wrong investors, slide into our DMs #SmallCap #CapitalMarkets $PIPE #Fundraising #InvestorRelations

Most investor meetings go well. The deck lands. Questions get answered. The investor says they will be in touch. Then nothing. Timothi Trombetta, global investor targeting specialist at Nasdaq, said something worth sitting with. Small-cap investors are focused on your vision. Not how you function. The questions in the room are not the real question. The real question is whether they trust you to make good decisions with their money. They are not re-evaluating your deck across those meetings. They are evaluating you. If you are a small-cap public company wondering why meetings are not converting, send us a message. #SmallCap #CapitalMarkets $PIPE #Founders #InvestorRelation

Small-cap companies made up 44% of all IPOs in 2024, yet they raised 3% of the capital SEC Commissioner Mark Uyeda said it directly at an April 2026 advisory committee meeting. The economics may be broken. 44% of small and mid-cap stocks have no analyst coverage at all, per the SEC’s own Office of the Advocate for Small Business Capital Formation. No coverage means few or no institutional investors discover the company. The SEC is working on fixes. Chairman Atkins has a plan he calls Make IPOs Great Again. Proposed rulemakings are in progress. But while the regulator works on the system, companies inside it still need to close raises this quarter. If you are a small-cap public company looking for the investor intelligence and visibility the system is not providing, send us a message. #SmallCap #CapitalMarkets #SEC #Fundraising #PublicCompanies

Going public in 2026 comes with real challenges. For small-cap companies, navigating market conditions, regulatory requirements, and investor expectations takes resilience and persistence. Today, we’re recognising the founders and executives who continue to build, adapt, and engage with the public markets. Their work matters. Happy Friday from the Allin AI team. #SmallCap #CapitalMarkets #PublicCompanies #InvestorRelations

Institutional investors are busier than ever. Secondary market volume grew from $75 billion in 2018 to $233 billion in 2025, per MSCI data. The most compelling private companies are staying private longer. Investors are deploying attention and capital into private deals years before those companies even consider a public listing. That changes the environment for small-cap public companies raising through a PIPE or RDO right now. The investors worth calling are not sitting idle waiting for your deal. They are already engaged elsewhere. Getting in front of them requires more than a well-timed outreach email. Does your company have a plan for that? theallin.ai #SmallCap #CapitalMarkets #Fundraising #PublicCompanies #AllinAI

2026 has been a banner year for IPO fundraising. $129 billion raised. SpaceX alone raised $85.7 billion. Yet the micro-cap market is moving in the opposite direction. As of July 2026, just 13 micro-cap companies went public on Nasdaq and the NYSE. Nearly 80 had listed by the same point in 2025, per Bloomberg Law citing SEC filings. The gap is not sentiment. It is regulation. Nasdaq tightened listing standards and expanded its discretion to reject applications flagged for market manipulation concerns. Minimum public float requirements changed the economics of smaller IPOs overnight. Of the 113 micro-cap IPOs on Nasdaq in 2025, 87 raised less than $15 million. Under today's rules, those deals would not qualify. The path to going public got harder. The companies moving through it successfully knew that before they filed. At @AllInAI_US we make sure small-cap public companies know what the market is actually asking for before they enter it. theallin.ai #SmallCap #MicroCap #CapitalMarkets #fundraising $PIPE #AllinAI

San Francisco gave us a lot this week. Unexpected conversations. Questions that sharpened our thinking. We are heading into the weekend with full notebooks, new connections, and fresh ideas for what comes next. To everyone who made this week special, thank you. That is a wrap on @TechCrunch Disrupt 2026. Three days. San Francisco. Moscone West. To every founder, investor, and operator who stopped by the Allin AI booth this week. Asked questions. Shared what is not working in their capital raises right now. You are exactly who we built this for. The conversations this week reminded us why the problem we are solving matters. Capital should not be this hard to access. The intelligence gap between small-cap public companies and the investors they need to reach is real. And it is fixable. Thank you for showing up. We will see you next time! #TCDisrupt #StartupBattlefield #AllinAI #Fintech #CapitalMarkets

We pitched at @TechCrunch Disrupt 2026! 10,000 founders and investors in the room. The case we made was simple. Investors walk into every capital negotiation knowing the market. Most small-cap public companies do not. That gap is not a funding problem. It is an infrastructure problem. The Capital Brain is the fix. Thank you to everyone who came to hear us make the case. Capital should flow like water. We are building the PIPEs! #TCDisrupt #StartupBattlefield #AllinAI #Fintech #CapitalMarkets #AllinAI

The Nasdaq can hit a record while hundreds of listed companies are still struggling. This week: • Nasdaq reached a record high • 206 Nasdaq-listed stocks hit new 52-week lows on the same day • 57.5% of US small caps are down 20%+ since June 1 The headline index looks strong. Underneath it, the market is much less comfortable. For public companies, that distinction matters. Investors don't experience “the market.” They experience individual stocks. That makes visibility, communication, and investor access increasingly important, especially for smaller companies. #SmallCap #CapitalMarkets #InvestorRelations #PublicCompanies
