You set up an offshore company to operate your protocol because you want to minimise personal risk - great! (Well, you’re still cooked).
Did you set up your corporate governance mechanics? (Multisig resolutions, smart contract deployment resolutions, domain owned by that entity, TGE resolutions etc etc)? No? Well, you’re still cooked.
You wanted to get paid for your efforts in developing the protocol the offshore structure is operating - great! Did you set up arms length agreements for development and ongoing maintenance in line with your tax code & corporate framework? Did you get a good independent director in to ensure arms length? No? Well, you’re still cooked.
You wanted to hire contractors, but wanted them full time - so you pay $500 for a contractor agreements - great! (Did you draft it to ensure you mitigate employee reclassification risk do as to not breach employment law?) no? Well, you’re still cooked.
See, if you’re not going to do the above, DON’T EVEN SET UP OFFSHORE JUST DO IT YOURSELF PERSONALLY (Risk is the same).
