"Zuckerberg could eventually sell the entire original Class C allocation, reducing his economic ownership from approximately 13.4% to 6.7%, while retaining approximately 60.6% voting control. This is a meaningful governance concession to Zuckerberg. The initial share dividend does not itself dilute anyone's economic or voting percentage, but the arrangement increases his ability to separate ownership from control."

Salesforce ($CRM) agreed to acquire customer engagement platform Braze for $5.66bn in enterprise value at ~6x EV/NTM sales, pricing the asset at half its historical acquisition average of 12x. The all-cash transaction represents a 58% purchase premium over Braze's pre-announcement share price, valuing the target at $47.50 per share against $912mn in NTM sales. While the 6x sales multiple sits slightly below Salesforce's prior large software takeouts—including MuleSoft at 16x, Tableau at 11x, and Slack at 26x—it aligns closely with the broader software M&A transaction average of 6.0x recorded since 2023. Management plans to fund the entire purchase without debt financing, utilizing approximately four months of FY27 free cash flow and ~2.5% of enterprise value, while leaving existing FY27 financial guidance unchanged ahead of an anticipated FY28 close.
Unlike the prior Informatica acquisition that delivered immediate operating margin, EPS, and cash flow accretion, Braze introduces near-term profitability dilution. Sell-side models project the deal will add ~2% to reported revenue growth and contribute ~20 bps of pro forma topline accretion, assuming Braze delivers 20% topline expansion against consensus expectations of 16% to 17% for FY28 and FY29. However, analysts estimate the transaction will dilute non-GAAP EPS by ~1% in FY28 and FY29, dampening margin expansion where operating margins are modeled to edge up modestly from 34.3% under FY27 guidance to 34.9% in FY28. With management offering no defined timeline for margin accretion, investors face near-term earnings drag in exchange for acquired top-line scale.

It is difficult to exaggerate the amount of damage done to $OPEN shareholders since @nejatian became CEO (down 85%)
$CSU appointed Daan Dijkhuizen Chief Al Officer and added him to the leadership team. His primary mandate is to expand VMS Ventures as $CSU's vehicle for investing in Al-native vertical-market-software businesses, while helping existing business units apply Al and share best practices. Dijkhuizen will simultaneously remain CEO of the Topicus operating group and managing partner of VMS Ventures. This formalizes a direction previewed in September, when $TOI disclosed that he would support Al initiatives across $CSU, but the explicit emphasis on acquiring Al-native VMS businesses is genuinely new.

"Notice the last component when Zuckerberg discussed Muse's business model: "connecting" Muse to the personalization of content and ads across Meta's apps. The last clause hints at something more direct, a user-permissioned connection between what Muse knows about you and the systems that rank your feed and your ads" - @borrowed_ideas

Don't normally do this but think I was the first to tweet this hours before others? If so I'm the goat. If not we'll you get what you pay for.
Zuck is planning to raise $875 billion?!
According to my robot that's the number where he would lose control without change of share structure.
Zuck drowning in a Guiness and admitting they spent 200B with no clue about the payoff could be the top. Zuck and Wang were obviously high on Muse launch and let down their guard. Now every AI dick is trying to frontrun the next guy to raise capital before market shuts. Healthy!
