A Letter to Metaplanet Shareholders: Over the past several weeks, many of you have asked questions about Metaplanet's compensation structure, governance, and the decisions we made as we transformed the business in less than two years from a struggling Japan-centric hotel operator into a global Bitcoin treasury company. Those conversations are important and warrant thoughtful responses, and I have tried to provide them with this note, which I hope you will read in its entirety. Most importantly, as I reflect on where Metaplanet is today, one thing is increasingly clear: we are no longer the company we were when the incentive structure at the center of this dialogue was created. We have grown faster than any of us imagined, our shareholder base has become truly global, and our business has evolved significantly. As the company matures, our governance, compensation, and communication practices must mature with it. That is why our Board of Directors has decided to further evolve the adjustments to the Series 10 stock acquisition rights and cancel 41% of the associated shares, resetting the conversion ratio to the level that existed before our international offering in September 2025. While as a Series 10 holder I recused myself from this decision, I fully support it. We all agree that we have one paramount goal: to ensure shareholders have complete confidence that we are aligned with them, in both action and intention. The original structure was designed for a very different stage in our history, when the company was much smaller and its future far less certain. It served an important purpose during that time. But leadership requires the willingness to revisit past decisions when circumstances change. One of the lessons of the past two years is that the same qualities that enabled our transformation, namely conviction, innovation, and a willingness to challenge convention, must now be matched by greater discipline and even more thoughtful oversight. The Board’s decision, and the consent of the Series 10 holders, reflect our evolution as a company. We will continue to assess and refine our practices as Metaplanet grows, and our responsibilities to shareholders grow with it. What’s Changing: Here are the three key components. The full Tokyo Stock Exchange timely disclosure is linked in the post below. Note that the amended terms were considered, formulated and approved by our Board of Directors, and were then agreed with the unanimous consent of all Series 10 holders. As the only director holding Series 10 rights, I did not participate in the deliberation or the vote. 1. We are resetting the conversion ratio to 1:410 The ratio of warrants to shares started at 1:100 and was fixed on August 18, 2026, at 1:696. It will be reset to 1:410, which is where it stood immediately before our international share offering in September 2025. September 1, 2025, the date of our final Bitcoin purchase disclosure before that offering, represents a natural inflection point in our journey. Up to that point, enterprise value was driven primarily by the efforts of the team that conceived, financed, and executed Metaplanet's transformation. After the international offering, growth in both our share count and Bitcoin holdings increasingly reflected our ability to access larger pools of capital and scale the Bitcoin treasury strategy. This offering is the point at which capital raises became less accretive (still accretive, but less so), and it is the point identified as giving Series 10 holders disproportionate value relative to existing shareholders. This action, which extinguishes over $220 million of warrant value, reduces the number of shares underlying the warrants by 41%, reduces the fully diluted share count accordingly, and increases Bitcoin per fully diluted share by approximately 8.8%. 2. We are imposing additional exercise conditions Under the new terms, all unvested warrants are subject to extended restrictions on exercisability, with one-third of this pool becoming exercisable in 2029, one-third in 2030, and one-third in 2031. The five-year lock-up agreed to last month is unchanged, so shares received on exercise remain subject to that lock-up until it expires. For full details please see the TSE disclosure. 3. We are cancelling the allocation of warrants to a new employee incentive pool and instead accelerating our design of a new compensation program. The 20% of warrants previously earmarked for transfer to an employee incentive pool will not be transferred. Those warrants are simply cancelled, as part of the 41%. We will develop a new plan in consultation with a leading global compensation consultant to incentivize new hires. We will share details as the design progresses. How We Got Here: Those are the headlines. But it's important at this moment to take a step back and remember where our journey began. This is critical to understanding why the Series 10 stock acquisition rights were created, the circumstances which provided the backdrop, and the meaningful risk taken by those who invested in those warrants at a very different moment in time. Building a Bitcoin treasury company in Japan was unprecedented for any enterprise, let alone a small Japanese hotel operator emerging from a difficult period. There was no playbook for what came next. As a near-bankrupt TSE-listed Japanese company, our circumstances were not analogous to any of our peers, not the one company that came before us nor the many that have followed. The team that conceived of this innovative transformation and took on this challenge, myself included, did so when the outcome was highly uncertain. We invested our time, our careers, and our own capital into a company that was far more likely to fail than to succeed. We were paid very little cash compensation to do it and that remains the case today. Instead, to attract and retain the people needed to rebuild the company, shareholders approved a long-term equity ownership and incentive program: the Series 10 stock acquisition rights. Holders purchased those rights with their own capital, accepted significant restrictions, and faced a multi-year vesting period. If the company failed, the team would receive virtually nothing for the effort they put in. The objective was to align the people rebuilding the company with its long-term success, unlock extraordinary motivational force, and sustain that for a period of high growth. The Series 10 stock acquisition rights were never intended to incentivize non-accretive or modestly accretive dilution. Instead, during the initial phase of high growth, this structure allowed us to assemble a talented team and then transform the company by rapidly acquiring Bitcoin in a highly accretive manner. The adjustment we are announcing today seeks to ensure that intention is reflected in the outcome for our shareholders. The Series 10 stock acquisition rights and their impact were publicly disclosed and reflected in the fully diluted share count, as well as in the BTC-per-share and BTC Yield metrics we shared with investors. We also now recognize that disclosure and awareness are not always equivalent. Since then, Metaplanet has evolved dramatically. What began as a turnaround has become one of the most closely followed Bitcoin treasury companies in the world. In record time, we became the largest publicly traded Bitcoin owner in Asia and one of the largest Bitcoin treasury companies globally, despite operating in one of the world's most conservative financial and regulatory environments. In fact, today we are the only non-U.S. company among the top 16 global Bitcoin treasury platforms. Our Commitments Going Forward: With these factors in mind, we are taking several other steps to ensure our structure and practices continue to mature as the business does. First, we are engaging independent external experts to help create a new compensation program to ensure it appropriately aligns management incentives with long-term shareholder value creation. Second, we are continuing to institutionalize the company. This includes strengthening board oversight and appointing five new board members across the March 2025 and 2026 annual shareholder meetings, representing half of our ten-member board (nine of whom are independent), and including those with experience at leading global audit firms, law firms, and financial institutions. Strong governance is a priority at Metaplanet. In addition, we have expanded our leadership team, added experienced professionals across the range of critical support functions: accounting, legal, compliance, operations, and technology, and enhanced the internal controls required to support a company of our scale and complexity. These strengthening efforts have been implemented in less than 18 months and we will continue to do more. Third, we are committed to increasing transparency and shareholder engagement, providing additional context around our capital structure and financing activities, and engaging with shareholders in both English and Japanese in a consistent fashion. These actions are particularly important as Metaplanet continues to expand internationally, including through the pending acquisition of a controlling stake in Super League Enterprise, a Nasdaq-listed company. As we look ahead, our goal is simple: to build a company that endures and that captures the vast opportunity in Bitcoin for the benefit of shareholders. Metaplanet is the story of a small company that reinvented itself, built a new model in a market where few believed it was possible, and became one of the most significant Bitcoin treasury companies in the world. We have been more successful than any of us imagined when we began, and we have an extraordinary growth path ahead. Along the way, we will do our best to make the right decisions, and when we get it wrong, we will adjust with the interests of our shareholders top of mind. We are proud of what we have built, and we remain deeply committed to our shareholders. Thank you for your support, your engagement, and your belief in what’s ahead. Exactly one year ago today I started to accumulate Metaplanet for around 344 Yen per share. I remember how @DylanLeClair reached out proactively and took the time to answer my questions. I appreciated that a lot. As I deepened my research, I kept buying more shares over the next days and weeks. 6 weeks after my initial purchase, we hit an all-time high of 1,930 Yen. I've never seen such a steep rise in anything I ever bought. This rise caught me by surprise, as I'm a long-term investor and haven't even finished my research yet. I think in years, not weeks. Over time, I used my famous MSTR ATM to rotate most of my MSTR into Metaplanet. Today, I control 2+ million shares and am as bullish as I ever been. The winter was hard, not gonna lie, but we're mostly through it now. So many people gave up and sold the bottom. Not me. I kept accumulating over the past 6 months. Here's my current thesis for Metaplanet: - Metaplanet will soon be the #2 Bitcoin Treasury company in the world, and will stay there - I expect them to reach 500K+ Bitcoin over time, growing their stack by 10x - Japan has a population of 122 million people, ranking as the 12th most populous country in the world - This month, Japan’s Cabinet approved landmark legislation to reclassify Bitcoin as a financial product / financial instrument. This will reach full operational status by January 2028 - Metaplanet currently owns ~87% of all the Bitcoin held by public companies in Japan. I expect this share to grow over time, making Metaplanet the Strategy of Japan (and possibly whole Asia) - Japan's population owns $14.8 trillion in household assets, of which $7.2 trillion in cash & deposits - Cash held in ordinary bank accounts (savings/checking-style deposits) in Japan currently yields around 0.30–0.32% per year - Typical money market funds yield 0.45–0.65% per year - That's exactly the opportunity for Metaplanet's upcoming preferred shares. By offering yields of 4-8% they tap into this vast pool of household assets, which will be the engine of Metaplanet's growth - I see the chance of a successful MARS and MERCURY IPO at 80%. Japan is conservative and slow, but I expect the IPOs to eventually be approved - Until then, we have ample time to accumulate shares for an undervalued price. Remember Warren Buffett who said "be fearful when others are greedy, and greedy when others are fearful" - When the pref IPOs are approved, it will be too late to buy at this hugely undervalued price - Metaplanet runs a sophisticated derivatives operation, generating regular and growing income - This income will be enough to buy the pref dividends, eliminating the need to sell common stock to fund the dividend payments - Metaplanet will build other operating businesses with the goal to build, operate, or invest into the Bitcoin infrastructure of Japan - Metaplanet will develop Bitcoin-focused capital markets products, bridging Asian and Western institutional capital flows - Metaplanet has the #2 team in the space (after Strategy), and in some respects they are the leading company (e.g. running a derivatives book) - I expect their mNAV to expand once Bitcoin's growth returns, fueling their growth by juicy common stock sales, as they did in the first 6 months of 2025 - I bought a large stake in MSTR in early 2023 for ~$15 per share, riding it until ~$450 per share. I expect to repeat this with Metaplanet That's just a short summary, and I'm sure I forgot a few points. I can't wait to see what @gerovich and his team will cook in the months and years to come. Bullish on this Japanese hotel company.

🔥HOW I AM GOING TO GET FILTHY RICH WITH METAPLANET🔥 Metaplanet is trading like Wall Street found a Bitcoin vault, looked inside, saw 40,000+ BTC, checked the EV mNAV, saw it under 1x, and said... “Interesting, but have you considered buying a software company at 900 times earnings?” In this video, I break down why I think Metaplanet could be one of the most mispriced Bitcoin treasury plays on Earth. We’re talking: Bitcoin exposure at a discount Metaplanet’s BTC accumulation strategy Why the prefs could be massively misunderstood CEBE analysis on what common shareholders actually own $200k and $275k Bitcoin scenarios The 100,000 BTC and 210,000 BTC goal cases ..and why this thing could become a financial flamethrower if Bitcoin returns to trend. The market sees a weird Japanese Bitcoin stock. I see a potential balance sheet weapon before consensus arrives. If Metaplanet pulls this off, the people ignoring it now are going to be sitting in index funds eating room-temperature deli meat while the Bitcoin treasury companies turn into sovereign wealth funds with stock tickers. This is the thesis. This is the math. This is how I am trying to get filthy rich with Metaplanet:

I dismissed the calls for Recessions and Major Stock Market Tops in: - October 2022 - said BoT beginning up towards 6300. FEAR & GREED @ 4 - March 2023 - Signature Bank etc. FEAR & GREED @ 14 - April 2025 - Called for V-shaped Recovery out of bottom - on April 6th. FEAR & GREED @ 3 Now I say it again! US Equity Markets have not topped. Not yet! There is 1 more rally into the final top. - March-April 2026 (FEAR & GREED @ 10 on March 27th) It will likely dip a bit lower. Fear & Greed may decline further. But the Bear Market is not here yet! The Recession is not here - yet! This is what the "Zeberg Macro Navigation Framework(TM)" can do for you. I think people are misunderstanding what’s happening here. The new draft of the CLARITY Act does not prohibit issuers from paying distributors such as @coinbase , @binance , or @okx . The discussion around yield is really about retail holders, meaning the end users who actually hold the stablecoin. In practice, @coinbase likely would not be allowed to pass that yield through to users, or at least not as easily as many people previously expected. What does that mean for @circle? Circle would obviously continue paying Coinbase for distribution. Circle is not the party that stands to make more money from this dynamic. Coinbase is. Today, Coinbase distributes roughly 60% of the yield it receives to users, so if passthrough becomes restricted, Coinbase could potentially retain 100% of that economics instead. One could argue that if Coinbase’s net revenue rises materially, Circle might try to renegotiate its agreement. As things stand today, Coinbase receives 100% of the NIM on all USDC held on Coinbase platforms, and 50% of the NIM on USDC held elsewhere, excluding Circle Wallet. But I do not think this necessarily changes the relationship. Coinbase knows USDC is the stablecoin of choice for Base, much of DeFi, and regulated U.S. markets. Whether or not it can pass yield through to customers, it still has very strong economic incentives to grow USDC supply. From Circle’s perspective, if the distributor no longer bears the cost of sharing yield with users and can keep the full NIM, that may actually improve the terms for these arrangements ahead of any future negotiations. On Tether, I also disagree with the claim that: “The dump was then accelerated by the news that Tether is pursuing a full audit, which threatens Circle’s positioning in the U.S. and Western markets as the tightly regulated, more trusted alternative to USDT.” I think that is simply wrong. The CLARITY discussion does not materially change the positioning of either issuer. Tether may pursue a full audit, but USDT still would not be GENIUS-compliant, and USAT remains very small in the U.S. and is not a meaningful competitive threat to Circle today. More likely, an audit would help Tether’s broader fundraising and credibility efforts rather than fundamentally alter Circle’s competitive position in the U.S. More broadly, USDC and USDT are very different products. They serve different user bases, operate with different economics, and rely on very different distribution strategies. So overall, I do not think this really changes the outlook for Circle or Tether in a major way. The biggest impact is on consumers/retail users and US Banks, not on the issuers themselves.
Circle is almost -20% down today. Everyone’s discussing it, yet hardly anyone actually understands what’s going on. The new hints on the Clarity Act potentially not allowing yield passthrough is a classic sell the news event. Insiders have been frontrunning this for 6 weeks while $CRCL pulled a 3x from the bottom. But here’s what people are missing : this is massively bullish for Circle. Their entire business model is built on keeping the yield generated by their $USDC supply. The Clarity Act essentially gives them a regulatory moat to maintain that model, while conveniently being able to say they’d love to pass the yield through but regulators won’t let them. The dump was then accelerated by the news that Tether is pursuing a full audit, which threatens Circle’s positioning in the US and Western markets as the tightly regulated, more trusted alternative to $USDT. The race between Tether and Circle just got a lot more interesting. That said, I believe the Clarity Act will ultimately allow both companies to grow massively, so the fight for first and second place is secondary to me for the next few years. Hope this was helpful. Couldn’t stand the uninformed takes anymore claiming this is somehow bearish for Circle. If anything, this might be a great entry for anyone with a time horizon longer than that of a goldfish.

Imagine being a hedge fund manager trying to price risk while the President sounds like he’s freelancing World War III from the toilet. Nobody knows what the plan is. There is no plan. The plan is vibes, caffeine, and one man screaming into his phone like the manager of a failing Atlantic City steakhouse. You open your brokerage app and everything is red, except oil and defense contractors, because of course. Of course. Every time civilization starts wheezing, Exxon walks out in a tuxedo with a martini and Lockheed buys another island. The Nasdaq looks like it got hit in the face with a folding chair because suddenly the market remembered that semiconductors do, in fact, require an operating global economy and not just TED Talk confidence and a black turtleneck. And Trump, God bless him, is tweeting like a guy who was handed six different war briefings, understood none of them, and decided to freestyle foreign policy from the toilet. “We may be winding down.” Great! “We may obliterate their power plants in 48 hours.” Fantastic! “Oil sanctions are off, but also maybe on, but also maybe we’re taking the island.” Beautiful. Just beautiful. This is why the market can’t price anything. You can’t build a discounted cash flow model around a national mood swing. There’s no Bloomberg terminal function for “presidential posting episode.” There’s no options chain for “what if the leader of the free world says three contradictory things before lunch and Brent crude goes vertical while JPMorgan analysts begin quietly chewing through their own ties.” The average investor is just sitting there like, “I bought an index fund because they told me it was safe.” Safe? SAFE? Your “safe” portfolio is now directly connected to whether some 28-year-old NSC staffer can stop a rage-post from becoming a missile exchange before the European open. That’s your diversification. Congratulations. You own a basket of companies whose earnings now depend on whether Hormuz is open and whether Trump has confused deterrence with posting. And Wall Street still does the same little dance every time. “Well, maybe this is already priced in.” Oh really? Already priced in? Was the possibility of a full-blown oil shock, shipping disruption, inflation resurgence, and presidential caprice “priced in,” Chad? Was it in the spreadsheet next to “soft landing” and “AI productivity miracle”? No, it wasn’t. What was priced in was endless delusion, infinite buybacks, and the belief that history had ended because the S&P had a nice quarter. Now everybody’s doing that thing they do where they act shocked that war affects markets. “Wow, yields are up. Wow, energy’s squeezing margins. Wow, rate cuts are less certain.” Yes, genius. That tends to happen when the world’s most important oil chokepoint turns into a live-action Call of Duty map and the White House communications strategy is basically drunk casino owner at 2 a.m. This is the real genius of the modern empire. It can’t build a train station, can’t balance a budget, can’t explain what victory looks like, but it can absolutely vaporize your 401(k) with a single weekend news cycle. That part works flawlessly. That part is incredible. The only truly efficient American institution left is panic transmission. We get chaos from the battlefield to your Robinhood account faster than Amazon gets paper towels to your porch. And the best part is that by Monday morning every idiot on television will sit there with perfect hair and say, “Markets dislike uncertainty.” Wow. Thank you, Socrates. What a contribution. They dislike uncertainty. Incredible analysis. We’ve spent billions on financial infrastructure just to reinvent the village idiot pointing at the sky going, “Storm bad.” That’s where we are. The market is a hostage, oil is a weapon, diplomacy is a hallucination, and the President is posting like a divorced nightclub owner who just found the nuclear football in a Denny’s booth. Everybody wants calm, nobody has control, and your portfolio is being managed by events that sound fake even when they’re real. Absolute clown planet. Premium clown planet. Goldman Sachs clown planet with institutional custody.

It‘s incredible how many people are shitting on Metaplanet right now. Look, I get it, we‘re down >80% from the ATH. The Japanese market is a bit shaky in general, macro wise. It‘s not clear yet that Metaplanet‘s prefs will be approved, and if so, when. Also, the market and their ¥637 MSW program has backed them into a corner for the past 6 months or so. People are giving up left and right, showing signs of PTSD. In fact, the current sentiment feels very bottom-ish. Max pain, capitulation. If prefs are not approved, that would be a huge blow, of course. But it wouldn‘t be the end. Management has demonstrated a willingness to use any tool at their disposal to raise more capital and increase Bitcoin per share. Remember that 1 year ago, Metaplanet held ~3,200 BTC. Today, they hold 35,102 BTC. 10x in 12 months. Soon, it will be >40,000 BTC, and until the end of the year their goal is to reach 100,000 BTC. I believe they have a good chance to achieve this goal. They also have the chance to completely own the Japanese market. Become Japan‘s Strategy, and even beyond, as they will become a key player of the Japanese Bitcoin ecosystem. Once Bitcoin is at 200K, all this negative sentiment will be long forgotten. Bookmark it.
