We began by looking ahead. Mr. Saraf shared an ambitious vision for the firm: to grow our revenue and profitability tenfold over the next five years, while continuing to stay ahead of the curve. Management Committee members Bikash Jhawar, Vaibhav Kakkar and Vikrant Kumar, also shared their thoughts on the journey ahead. The discussion gave colleagues an opportunity to exchange ideas and learn from one another’s perspectives. Members of the Associates Committee (Future Leaders) presented decisions taken jointly with the Management Committee, reflecting the importance we place on listening to one another and building our future together. Saraf and Partners advised 𝐄𝐭𝐞𝐫𝐧𝐚𝐥 on all aspects of the proposed merger of digital advertising platform 𝐀𝐝𝐎𝐧𝐌𝐨 with community management platform 𝐌𝐲𝐠𝐚𝐭𝐞, with the combined entity being valued at approximately INR 3,500 crore. Eternal, AdOnMo, Mygate and the relevant shareholders and parties have entered into definitive agreements for the transaction. Mygate provides visitor management, security, finance and accounting, and community engagement solutions across 30,000 residential communities serving over six million households, while AdOnMo operates over 55,000 cloud-connected screens across 27 cities. The proposed all-stock merger is preceded by a share swap, pursuant to which Eternal Limited (formerly, Zomato Limited), the largest investor in AdOnMo, and certain other investors of AdOnMo will transfer their shareholding in AdOnMo to Mygate in consideration for an equity stake in Mygate. The proposed consolidation will provide RWAs with community management tools and digital infrastructure for resident communications and monetisation of common areas. The argument is simple: India’s energy policy was never about choosing Russia. It was about choosing affordable energy. President Trump’s decision to turn to Russian diesel to protect American farmers, truckers and consumers from higher fuel prices brings that reality into sharp focus. Governments have a fundamental responsibility to protect the economic interests of their citizens. That principle cannot apply differently depending on whether those citizens live in Washington or New Delhi. India has shown that it will buy Saudi, Venezuelan, Russian or any other crude when it is commercially competitive and lawfully available. That is not alignment. It is strategic autonomy. For a country of 1.4 billion people, affordable energy is not merely an economic consideration. It touches transportation, agriculture, manufacturing and ultimately almost every household. Perhaps recent events have brought India and America a little closer to understanding each other. India seeks no special treatment, just the same understanding America gives itself. Saraf and Partners acted as the counsel for 𝐀𝐌𝐏𝐈𝐍 𝐄𝐧𝐞𝐫𝐠𝐲 𝐓𝐫𝐚𝐧𝐬𝐢𝐭𝐢𝐨𝐧 on its equity fund raise of up to USD 100 million from 𝐍𝐨𝐫𝐟𝐮𝐧𝐝, the developmental finance institution of the Norwegian Government, through the Norwegian Climate Investment Fund. The capital infusion takes AMPIN’s total equity raised to nearly USD 1 billion, enabling capital deployment of over USD 4 billion. This transaction is a significant milestone in India’s renewable energy landscape, with AMPIN becoming the only energy transition company in India to attract leading investors from Europe, North America, and Asia.
