On October 22, Professor Keith Fisher presented the introduction to his draft article entitled Exercising a Controlling Influence: The Protean Definition of “Control” in Financial Regulation.
The article deals with a particular aspect of the regulation of every insured depository institution (IDI) and holding company with one or more IDIs – namely, the core concept of “control.” Control is the fulcrum of modern banking regulation. The concept determines which persons may acquire a stake in an IDI, which must undergo supervisory vetting, and which is subject to the plenary architecture of prudential oversight.
Control is thus the touchstone for imposition of a variety of legal constraints, as well as of ascertaining corporate relatedness (including the statutorily delineated concept of affiliation) and the concomitant restrictions on dealings with such related entities.

Congratulations to STU College of Law Professor Itai Fiegenbaum, whose article, “The Controlling Shareholder Amendments Reconsidered,” has been accepted for publication in the American Business Law Journal! 📚⚖️
The article examines Delaware’s sweeping 2025 corporate law reforms, which substantially changed the rules governing transactions involving controlling shareholders.
Professor Fiegenbaum offers a novel explanation for how these reforms came about, arguing that Delaware’s famously sophisticated judiciary failed to recognize controlling shareholders as a politically powerful constituency and consequently continued expanding legal doctrines that undermined their interests, ultimately provoking a powerful backlash.
His article sheds new light on how judicial decision-making is shaped by the recognition, or failure to recognize, political threats.

On October 8, the STU College of Law hosted over 150 members of our community attending the historic launch of our Siegfried Wiessner Himan Flourishing Distinguished Lecture Series, the first of its kind at our College of Law.
The inaugural lecture was imparted by Catholic University Professor of Law Veryl Miles. Entitled "Catholic Social Teaching and the Law: Helping, Healing, and Restoring Hope," the lecture highlighted the social teaching's emphasis on the individual and collective duties to help the outcast and the "least of us," across the spectrum of economics, migration policy, and other areas of life.
Professor Miles was awarded a sculpture, designed by master sculptor Santiago Medina called "Human Flourishing," by Professor Siegfried Wiessner, who gave special remarks on how fitting the recognition given to Miles was.
The lecture is the first of many to take place, once a year, perpetually, with the goal of celebrating academic excellence and a commitment to human flourishing by those engaged in the teaching and practice of law.
