Ugandan Lawyer and Businessman Charles Odere Appeals USD400,000 Arena Mall Ruling
Kampala lawyer and businessman Charles Odere is at the centre of a legal question many wouldn’t expect: Why would he sue a project he is part of?
Odere is not just a shareholder in the Arena Mall development — he is also a lender to the same project. And after advancing a $400,000 shareholder loan, he went to court in 2025 seeking repayment.

In structured finance, being owed money isn’t enough. There’s a pecking order—banks and senior lenders get paid first and must approve who gets paid next, meaning even insiders like Odere can’t be repaid without their consent.
This isn’t just a dispute over money. It’s about what happens when a shareholder becomes a creditor, who ultimately controls repayment in complex deals, and whether such disputes are decided by courts or arbitration.
