$RITE recently filed two reports with the SEC: • Form 10-Q for the quarter ended September 30, 2026. The Management's Discussion and Analysis (MD&A) recaps the quarter: effectiveness of our Form 10 registration under the Exchange Act; the refresh of our Rule 15c2-11 application with FINRA through Alpine Securities Corporation; preparation for the Phase 2 verification and analytical program at Skull Valley; the Arizona State Land Department's deferral of back-assessed minimum annual guarantee payments under the Skull Valley lease; and completion on September 30, 2026 of an integrated transaction with entities controlled or managed by a significant shareholder of and consultant to the Company, which reduced the common shares potentially issuable on conversion of preferred stock by approximately 2.0 billion. The 10-Q also contains our financial statements, including risks and other important disclosures investors should read in full. • Form 8-K reporting our Restated Certificate of Formation, filed by the State of Texas effective October 26, 2026, and our Amended and Restated Bylaws, adopted by the Board on November 2, 2026. The 8-K files the full text of both documents as exhibits (Exhibit 3.1 and Exhibit 3.2). Filing the Restated Certificate fulfills the undertaking in our October 2, 2026 Form 8-K to file it as an exhibit to a subsequent 8-K once it became effective in Texas.
