Securitisation
Reading through the Offering Memorandum (OM) for the Linzi 003 Infrastructure Asset-Backed Securities (IABS) Programme—which facilitated a landmark KES 44.79 billion structured debt transaction to finance the construction of the Talanta Sports Complex ahead of the AFCON 2027 tournament—I am not surprised the IMF is insisting that funds raised through securitisation deals be fully disclosed in our national debt book.
Here is a direct quote from the OM:
"Upon the winding up of the Fund, and subject to approval by Parliament, the National Government, through the National Exchequer Account, shall assume and discharge all outstanding amounts under the Notes."
Several other points are worth noting:
Commercial Finance vs. Public Ring-Fencing: While celebrated in capital markets as a pioneering 15-year, tax-exempt asset-backed listing yielding 15.04% per annum, a closer examination of the underlying legal framework reveals a structure that relies on ring-fencing public funds rather than traditional, commercial project finance.
Asset-Backed in Name Only: Despite being branded as an Infrastructure Asset-Backed Security, the notes are not backed by revenues generated from the Talanta Sports Complex itself (such as ticket sales, broadcasting rights, or corporate sponsorships). Instead, the debt is collateralised by the Sports, Arts and Social Development Fund (SASDF)—a statutory fund fed by public betting taxes and exchequer allocations.
Fiscal Implications: The transaction encumbers a major public development fund for 15 years, maturing in 2040. Incoming betting tax revenues will be diverted to pay private noteholders, starving grassroots sports, healthcare initiatives, and cultural programs of vital funding.
The Illusion of Limited Recourse: Page 1 of the OM explicitly labels the notes as "limited recourse instruments," asserting that noteholders have no claim beyond the Trust’s assets. Yet, while private investors and arrangement syndicates enjoy a high, tax-free yield of 15.04%, the ultimate credit risk is quietly transferred back to the Kenyan taxpayer should the Sports Fund default or undergo statutory restructuring.
Off-Balance-Sheet Financing: By routing the transaction through an unincorporated private trust (Linzi FinCo 003 Trust) and assigning receivables via Sports Kenya, the KES 44.79 billion liability is kept off the central government’s primary balance sheet.
An Emerging Pattern: Similar to the OAK SPV Road Maintenance Levy Fund securitisation (KES 156.97 billion), the National Treasury is increasingly turning to off-balance-sheet Special Purpose Vehicles (SPVs) to fund national infrastructure. This pattern locks up future state revenues without adding to official sovereign debt tallies or undergoing standard parliamentary debt-cap oversight

Lessons from Brazil & Serbia Elections
Brazil has 130 million registered voters. They went to elect their President yesterday & the results were out immediately polls closed! No other country in the world does what Brazil does. President Lula, 80, was re-elected for record 4th time. His campaign recommitment is to end Corruption, Impunity & Militias (goons). And Lula kept his previous election promises.
In Serbia, university students formed only two months ago, its political party called Studentska lista (student List). The students in yesterday’s elections, defeated the party of strongman Vucic that was formed 18 years ago! There are indications the students will choose their university professor, Srdanovic to be the new leader of Serbia.
Therefore, winning elections isn’t about the age of the Party or of the Party’s Presidential candidate. It is, who resonates with the voters!

By the time I learned Mudavadi and Weta were less inspiring than a boiled egg and a packet of Mala I had not even met Raila. For them to claim it is Baba who has taught us to disrespect them is utter rubbish. Respect is earned. They haven't earned mine.

To all our comrades that we have lost in this fight under this regime! You are the real shujaaz and your sacrifice can and will never be in vain!

Replying to @MusaliaMudavadi
@MusaliaMudavadi says that @edwinsifuna has unveiled his party too late to the elections that are still ten months away.
The NARC coalition that showed Mudavadi dust was unveiled three months to the 2002 elections.
The ODM party that Mudavadi rode on to resurrect his career in 2007 was acquired by Raila as a last minute deal from wakili Mugambi Imanyara three months to the elections.
The party owned by Kibaki's second wife, Mary Wambui, which Mudavadi fled to from ODM in 2013, and through which he sought the presidency on a "mademoni" deal, was unveiled three and half months to elections.
The NASA coalition, on which Mudavadi tried to redeem himself in 2017, was launched three months to the 2017 elections.
And after his "earthquake" failed in 2022, his deal with UDA for the 2022 elections was done as a last-minute arrangement.
How would Sifuna's 10-months-to-election party be late, yet Mudavadi consistently arrives to the table three months before elections?
If anything, Mudavadi will endorse Sifuna in April 2027. His pattern is predictable.

This is a confession that Ruto is not creating jobs. He's splitting the existing jobs to give the pieces to others, basically destroying the jobs that already existed before he grabbed power.
